The Dania Beach Campus: A Bidder, an Objection, and a Move-In-Ready Auction

The corporate headquarters sale finally has a face. The Debtors selected DPC HoldCo LLC — backed by Hill City Capital LP, a Boston-based investment firm — as the stalking horse bidder for the Dania Beach campus, with an $88 million all-cash offer setting the floor price for the auction. Nixon Peabody LLP formally entered the case as counsel to DPC HoldCo on August 3, 2026 (Docket 1425).

Not everyone’s on board with the pick. Dania Live 1748 II, LLC filed a Limited Objection and Reservation of Rights (Docket 1417) on July 31 — the docket doesn’t give us the substance of the objection yet, so we’re not speculating on it here, but it’s on the record and worth watching for what comes of it.

The auction itself is now locked in: an in-person public sale, held at the campus itself (1731 Radiant Drive, Dania Beach) on August 11, 2026 at 10:00 a.m., with the final sale hearing before Judge Lane on August 19, 2026 at 11:00 a.m. (Docket 1435). Separately, the Debtors applied on August 5 to bring on Eastdil Secured, L.L.C. as real estate advisors for the sale (Docket 1438), with a hearing on that retention set for the same August 19 date.


Ameer Flippin & Harlem Park Partners: A Persistent Pro Se Push, Blocked at the Front Door

The background. Ameer Flippin, CEO of Harlem Park Partners, Inc., has been an active pro se participant in this case since at least September 2025, when he filed a motion to intervene under Federal Rule of Civil Procedure 24 and Federal Rule of Bankruptcy Procedure 7024. That same month, he also filed — and shortly after formally withdrew — an SEC tender offer proposing to exchange debt for 6% of Spirit Aviation Holdings’ common stock. Public professional profiles associate Harlem Park Partners primarily with media and video production work, not aviation or real estate investment; a pilot forum tracking the case at the time described his early filings as “flat out weird.”

The current motion. Flippin’s September 2025 filing already floated the idea of a “strategic breakup” of Spirit into a small luxury startup airline serving the busiest domestic routes — so this summer’s push isn’t a new idea, just a more concrete version of one he’s held for nearly a year. On July 30, 2026, he asked Debtors’ counsel (Christopher Robertson of Davis Polk) for written consent to a “meet and confer” with DPC HoldCo LLC, the stalking horse bidder for the Dania Beach campus, to discuss folding the aircraft sale into a joint bid alongside a proposed startup called Stargate Lux Air. Robertson declined the same day by email, warning that contacting a stalking horse bidder about joint capitalization without consent would violate the court-approved bidding procedures. Flippin filed a statement documenting the exchange (Docket 1422) on July 31, then an emergency ex parte motion to compel a conference with Davis Polk, PJT Partners, FTI Consulting, and DPC Holdings (Docket 1424), followed by a certificate of service on August 2 (Docket 1428).

Why he got turned away. This isn’t a judgment call by Davis Polk — it’s the rule as written. The court-approved bidding procedures require that “all substantive communications related to Bids or the Sale between or amongst Potential Bidders... shall be conducted exclusively through the Debtors and the Debtors’ advisors,” expressly prohibit direct contact without the Debtors’ written consent, and allow disqualification of any bidder who communicates with another bidder without that consent. Flippin’s request ran directly into a rule built specifically to prevent this kind of freelance coordination between bidders. As of the most recent dockets we have, no ruling on his motion to compel has been entered either.
